Terms & Conditions

These Terms & Conditions apply to website design, website redesign, hosting, domain registration, SEO, maintenance and other digital services supplied by MWD Hosting.

Please read them before instructing us to carry out work or purchasing a service. By accepting a quotation, paying an invoice, placing an order or otherwise instructing MWD Hosting to proceed, you agree to these terms.

Nothing in these terms affects any statutory rights that cannot lawfully be excluded or restricted.

Orders & Quotations

The scope of work will normally be agreed through a quotation, invoice, email conversation or other communication between MWD Hosting and the customer.

A quotation is based on the information available when it is prepared. If the scope of a project changes significantly after work has started, additional work may be quoted separately.

Instructions given by an authorised representative of the customer, including instructions by telephone or email, may be treated as authority to carry out agreed work.

Quotations do not include services, software, licences, photography, advertising expenditure or other third-party costs unless specifically stated.

Payment

Fees and payment arrangements will be set out in the relevant quotation, invoice or service agreement.

Invoices should be paid by the due date shown on the invoice unless another arrangement has been agreed.

MWD Hosting may pause work, hosting, maintenance or other services where an invoice remains overdue, after reasonable notice where appropriate.

Domain registrations, software licences and other third-party services purchased specifically for a customer may be non-refundable once ordered because MWD Hosting may already have incurred those costs.

Where a project is cancelled after work has commenced, the customer may be charged for work completed and reasonable costs already incurred.

Website Design & Development

MWD Hosting will use reasonable care and skill when designing, developing or redesigning a website.

The customer is responsible for reviewing supplied designs, pages, written content and other material and notifying MWD Hosting of significant errors or required changes.

Websites are created for current web browsers, devices and technologies. We cannot guarantee that a website will continue to display or operate identically indefinitely as browsers, software and third-party systems change.

Minor differences between browsers, operating systems, screen sizes and devices are normal and do not necessarily constitute a defect.

Customer Content

The customer is responsible for ensuring that information, photographs, logos, documents, videos and other material supplied to MWD Hosting can lawfully be used on the website.

The customer should not provide copyrighted material owned by somebody else unless they have permission or another lawful right to use it.

The customer remains responsible for the accuracy and legality of statements relating to their business, products and services.

MWD Hosting may refuse to publish material that we reasonably believe is unlawful, malicious, fraudulent or infringes the rights of another person.

SEO & Search Rankings

Where SEO or search optimisation services are provided, MWD Hosting will use reasonable professional efforts to improve the website's structure, content and search visibility.

Search engines are operated by independent third parties and their algorithms, indexing decisions and search results are outside the control of MWD Hosting.

We therefore do not guarantee a particular position, amount of traffic, number of enquiries or permanent ranking in Google or any other search engine.

Search rankings can change as a result of competition, algorithm changes, website changes and many other factors.

Website Hosting

MWD Hosting will use reasonable efforts to provide a reliable hosting service but cannot guarantee uninterrupted availability.

Hosting may occasionally be interrupted for maintenance, upgrades, security work, infrastructure problems or circumstances outside our reasonable control.

We are not responsible for outages or failures caused by external networks, data centres, internet providers, third-party software, cyber attacks, power failures or other events outside our reasonable control.

Hosting services must not be used for unlawful activity, malicious software, deliberate network abuse, unsolicited bulk messaging or activity likely to damage the hosting infrastructure or other users.

Maintenance, Security & Backups

Where website maintenance is included in a service, MWD Hosting may install software updates, security patches and other changes reasonably required to maintain the website.

No website, server or online service can be guaranteed to be completely immune from hacking, malware, software vulnerabilities or data loss.

MWD Hosting will take reasonable precautions appropriate to the service being supplied, but does not guarantee that security incidents will never occur.

Backups may be maintained as part of hosting or maintenance services. Customers should also retain their own copies of important business information, images and other critical source material.

Customers must keep passwords, account credentials and other access information secure and should notify MWD Hosting promptly if they believe credentials have been compromised.

Domain Names

Where requested, MWD Hosting may register or manage domain names on behalf of customers.

Domain registrations are also subject to the rules and terms of the relevant domain registry or registrar.

For .uk domain names, registration is subject to the applicable terms and policies of Nominet UK.

The customer is responsible for providing accurate registrant information and notifying MWD Hosting when relevant details change.

Registration of a requested domain cannot be guaranteed until the registration has successfully completed.

Domain registration and renewal fees may change where registry, registrar or supplier charges change.

Customers should ensure renewal invoices and requests for information are dealt with promptly. Failure to renew a domain can eventually result in suspension, deletion or the domain becoming available for registration by somebody else.

Domain & Website Transfers

Customers may request that a domain name or website under their control is transferred to another provider.

Transfer requests should normally be made in writing or by email so that MWD Hosting can verify the request and the destination details.

Transfers remain subject to the procedures and requirements of the relevant registry, registrar, hosting company or software provider.

Any outstanding invoices relating to completed services remain payable irrespective of a request to move services elsewhere.

Where significant technical work is requested to migrate, package, export or configure a website for another provider, that work may be separately chargeable. Any such charge should be made clear before the additional work is carried out.

Third-Party Services

Websites may rely on services provided by third parties, including domain registrars, hosting infrastructure, content management systems, extensions, payment services, email platforms, analytics services, maps, social networks and external APIs.

MWD Hosting is not responsible for changes, outages, discontinuation, pricing changes or failures caused by an independent third-party provider.

Where a third-party licence or subscription is required, responsibility for renewal and payment will depend on the arrangement agreed with the customer.

Copyright & Intellectual Property

Customers retain ownership of original material they supply to MWD Hosting.

Third-party software, templates, fonts, extensions, photographs or other licensed material remain subject to their respective licence terms.

Unless otherwise agreed, rights in bespoke work created specifically for a customer will be made available to that customer once the corresponding invoices have been paid in full, subject to any third-party rights and licences.

MWD Hosting may retain the right to identify itself as the website designer and to show publicly accessible completed work within its portfolio unless otherwise agreed with the customer.

Suspension & Termination

Either party may end an ongoing service in accordance with any notice period or minimum term specifically agreed for that service.

MWD Hosting may suspend or terminate a service where there is serious misuse, unlawful activity, a significant security risk, repeated breach of these terms or continued non-payment.

Where reasonably possible, we will give the customer an opportunity to resolve the problem before terminating a service, unless immediate action is necessary for legal or security reasons.

Ending a service does not remove liability for charges already properly incurred before termination.

Liability

MWD Hosting will exercise reasonable care and skill in providing its services.

To the extent permitted by law, MWD Hosting will not be responsible for indirect or consequential losses arising from matters outside our reasonable control, including loss of anticipated profits, business opportunities or revenue.

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

Customers are responsible for maintaining appropriate business continuity arrangements and copies of important information needed to operate their business.

Website, hosting and digital services depend on interconnected third-party systems. No responsible provider can promise that an internet service will operate without interruption forever.

Events Outside Our Control

MWD Hosting will not be responsible for delay or failure caused by circumstances outside our reasonable control.

This may include major internet or infrastructure failures, fire, flood, severe weather, power failure, industrial action, government action, failure of third-party suppliers, cyber incidents or similar events.

Data Protection

Personal information will be handled in accordance with applicable UK data protection law and the MWD Hosting Privacy Policy.

Where MWD Hosting processes personal data on behalf of a customer in connection with hosting or another service, additional data-processing terms may be required depending on the nature of that service.

Changes to Services & Terms

MWD Hosting may update these Terms & Conditions from time to time to reflect changes in services, suppliers, technology, registry rules or legal requirements.

Material changes affecting an existing ongoing service will be communicated where reasonably appropriate.

Changes will not retrospectively remove rights or obligations that have already arisen.

Governing Law

These terms are governed by the laws of England and Wales.

Any dispute will be subject to the jurisdiction of the courts of England and Wales, subject to any statutory rights that apply to the customer.
